Terms of Service

Parties

These terms are between you and Overbuilt Technologies LLC ("Overbuilt", "we", "us"). Contact: James McConnell · operations@overbuilt.ai.

What we provide

Overbuilt configures and operates AI agents against systems you connect, at the tier you have purchased. Setup fees cover configuration and delivery of the agents in that tier. Monthly fees cover operation, support and the run allowance stated at purchase.

Run allowances and overage

One run is one agent completing one job once. Each tier includes a monthly run allowance. We meter runs rather than agents because cost tracks how often work happens and how much has to be read, not how many agents exist.

Each tier carries a per-agent run estimate, and what you actually receive is the total — a single monthly pool your agents draw from however the month falls. Starter is 75 runs per agent, a 150-run pool. Operations is 200 per agent, a 1,000-run pool. Agent Workforce is 450 per agent, a 3,150-run pool. Nothing is throttled mid-job and no agent stops without us telling you.

If you go past the allowance, additional runs are itemized individually on your next invoice at a published per-run rate. The first ten additional runs are charged at your tier's standard run rate, derived from the monthly fee divided by the per-agent run estimate. Every run past those ten carries a 30% surcharge on that rate, because sustained overage usually means the tier is wrong rather than the month being busy.

We are alerted as soon as an allowance is exceeded. We will either adjust the configuration or contact you by the next business day with the cost and the options. If you consistently exceed a tier, we move you up rather than quietly billing overage forever.

Service levels

Every agent is monitored automatically, around the clock. If a run fails, stalls or starts behaving abnormally, our monitoring catches it and pages us — we do not wait for you to report it.

This is a floor, not a target. Higher tiers carry faster support channels — same business day on Operations, a named contact and direct line on Agent Workforce — and in practice most issues are handled well inside the committed window. The commitment above is what we are contractually bound to on any tier.

What we do not promise

We do not publish an uptime percentage. Overbuilt runs on infrastructure operated by others — hosting providers and model providers — and a guarantee on their availability would be a promise about someone else's platform. We commit to what we control: monitoring, response, and putting the work right.

Remedy when an agent does not run

Where an agent fails to run and the cause is within our control, the work is not lost and you are not charged for the failure:

These credits are the sole and exclusive remedy for a missed service level or a failed run. They do not apply where the failure is caused by an outage at a third-party provider, by a system you connect being unavailable or changing without notice, by credentials being revoked, or by anything else outside our control — though we will still tell you what happened and put it right.

Your responsibilities

Confidentiality

We treat client information as confidential and we sign a non-disclosure agreement with every client. We do not name clients in marketing without written permission. Where we describe work publicly we describe it in operational terms only, with no detail sufficient to identify the business.

Fees and payment

The late charge steps down as the tier goes up. Larger engagements carry larger absolute balances, so a flat percentage would penalize them disproportionately for the same delay.

The five-business-day grace period applies to every tier. Nothing is charged inside it.

Cancellation

Cancellation requires at least two weeks' notice before your next billing cycle. Cancel inside that window and the next cycle is charged, and service continues through the end of that paid period.

Governing law

These terms are governed by the laws of the State of Delaware, where Overbuilt Technologies LLC is registered.
